To look after your privacy and to keep the content useful, users must follow the rules in this Terms of Use Agreement ("Terms of Use") and our Privacy Notice. By using the Website, you are deemed to have accepted these Terms of Use and understand the terms of our Privacy Notice.

Use of the site

Your access to and use of the Website and of any information contained within it is subject to the Terms of Use and our Privacy Notice. By accessing and using the Website, you accept, without limitation or qualification, the Terms of Use. ZS Associates, Inc. (“we”, “us”, “our” or “ZS”) reserves the right to change the Terms of Use from time to time without notice, as we deem necessary. Registration

You will not be able to use the Website properly unless you register with us. You may opt-out of receiving these materials and notifications by contacting us using the contact information provided to you with your study enrollment documentation to inform us that you wish to be removed from the study.

In order to register with us and become an account holder, you will be invited to provide your email. You are entirely responsible for maintaining the confidentiality of your account and all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security by contacting us using the contact information provided to you with your study enrollment documentation or at dataprivacy@zs.com. We will not be liable for any loss or damage that you may incur as a result of someone else using your account, either with or without your knowledge. However, you could be held liable for loss or damage incurred by us or another party due to someone else using your account. You may not use anyone else’s account at any time, without the express permission of the account holder.

Failure to comply with terms and conditions and termination

You acknowledge and agree that your access to the Website will terminate upon the Study Sponsor’s request, upon completion of the Study, or upon ZS' discretion should ZS believe, in its sole discretion, that you have violated any of these Terms of Use.

You agree to defend, indemnify, and hold ZS and its affiliates harmless from any and all claims, liabilities, costs and expenses, including reasonable attorney's fees, arising in any way from any violation of these Terms of Use by you or users of your account.

Third parties and third-party websites and links

We also may provide links or references on the Website to the websites of other companies, or other organizations whether affiliated with us or not. By clicking on these links and accessing these other websites, you will be leaving the Website. Some of these links are added by users and we are not in a position to verify every link posted on the Website.

Where the Website contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

Similarly, the Website may be accessed through third party links over which we have no control. The failure of ZS to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Use shall remain in full force and effect.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Hosted Application or the Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.

These Terms of Use do not create a partnership, joint venture, agency, or franchise relationship between you and ZS.

These Terms of Use, and any applicable supplement, represent the entire agreement between ZS and you regarding the use of the Website.
